Terms & Conditions of Service

Intro
This Terms of Service agreement is between A Fruity Affair Limited, trading as brand name Lemonet, Company Number NI710984 of Aisling House, 50 Stranmillis Embankment, Belfast, Northern Ireland, BT9 5FL, (“Lemonet” or “Company), and their clients, partners and users ("Client", “Client’s”, or “You”), and together the parties (“Parties”) in regard to Lemonet’s solution and services (“Service” or “Services”).

The company will provide various digital services as described on the website. Unless agreed otherwise, all fees must be paid in full prior to the start of a campaign.

Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Northern Ireland. The Parties agree to attempt initially to solve all claims, disputes or controversies arising under, out of or in connection with this Agreement by conducting good faith negotiations.

Should the Parties fail to resolve any issues amongst themselves, it will then be addressed through alternative dispute resolution methods, beginning with mediation. If needed, the dispute will escalate to a final and binding arbitration overseen by the courts of Northern Ireland.

Purpose
The platform is developed to facilitate connections between publishers, webmasters, web admins or, website owners and clients who are interested in publishing articles on their sites for search engine optimisation (SEO) or public relations (PR) purposes.

The Company acts solely as an intermediary platform that connects buyers with sellers and is not directly involved in the creation, review, or approval of content published by either party. As such, the Company assumes no responsibility for the nature, quality, or legality of the content exchanged or the authenticity of the parties involved.

It is the responsibility of each Client to ensure compliance with all relevant laws and regulations, including but not limited to licensing requirements, when using Lemonet to publish or procure off-page content. The Company explicitly disclaims any liability for content that may be unlicensed, prohibited, or otherwise in violation of these terms. The Company reserves the right to suspend or terminate the accounts of Clients who breach this provision.

By using this platform, you commit to acting in good faith and solely for its designated use. Engaging in activities such as falsifying information, impersonating others, data theft, involvement in financial crimes (such as money laundering), or any other form of misuse of the services will be regarded as fraudulent behaviour.

Should fraudulent behaviour occur, the Company reserves the right to withhold payments, suspend your account, halt all operations, and take legal action.

Indemnification
The Services provided on this site do not guarantee success; all numbers and claims are estimates obtained from external data sources, so the Company cannot guarantee accuracy. The Company will be held harmless if incorrect data is presented.

The Company ensures content placement for up to twelve months from the date of original placement.

The Service may link to third-party sites outside the Company's control. The Company assumes no responsibility for 3rd party content or policy updates. Using the Service absolves the Company of liability for these external sites or general failings.

Clients assume full responsibility for their actions on the site and must comply with local laws, including copyright laws. You accept and assume all risks related to the outcomes of using the Lemonet platform for posting on third-party sites.

The Company disclaims responsibility for the results of postings and does not guarantee search engine ranking improvements or traffic increases. The Client is responsible for selecting third-party sites and assessing their impact.

By accessing or utilising the Company's website, products, software, data feeds, or services (collectively, "Service"), the Client affirms acceptance of the Terms of Service and Lemonet Privacy Policy incorporated by reference. If the Client disagrees with these terms or the Privacy Policy, refrain from using the website or its contents. The Client's continued usage indicates agreement to these terms.

You agree to check for updates to the Terms of Service regularly. The Company may modify these terms or the Privacy Policy at any time, and continued use signifies your agreement to be bound by such changes. These terms do not extend rights or benefits to third parties.

Accounts Sign Up & Registration
By collaborating with Lemonet, you commit to submitting truthful, complete, and current information as per the registration form and to promptly update your details should they change.

Should you submit information that is false, outdated, or incomplete, Lemonet reserves the right to terminate or suspend your account and deny future access to its platform and services. Your personal information will be handled and retained only as needed to complete your order and in alignment with the Privacy Policy.

Access, Use, Orders & Fulfillment
Lemonet enables you to access its services and submit orders, contingent upon your adherence to these Terms of Service and the specified conditions:

  1. Access to or use of the Company’s services by anyone without active legal capacity or without the necessary extension of restricted legal capacity is prohibited and breaches this agreement.
  2. The cost of publications can change based on the terms set by site owners, webmasters, or web admins. Availability of some sites may vary, being temporarily inaccessible or hidden from new clients. The platform's features and services are unlocked based on the volume of completed orders or specific agreements.
  3. To simplify payment processes, the Company may offer various payment options, and these may include transaction fees. You will be notified about any added transaction fees with your selected payment method, acknowledging that these fees are not refundable.
  4. The Company does not endorse or support the content or viewpoints on any linked sites, whether yours or those of third parties.
    There is no assurance of SEO link indexing, ranking improvement, or higher SERPs positioning. Search engines evaluate numerous on-page and off-page factors, making it impossible for Lemonet to control or predict the outcomes of SEO efforts fully.
  5. You bear responsibility for any modifications to your site that might interfere with services purchased from Lemonet. Changes in site structure or content can influence SEO outcomes.
  6. Lemonet and its proprietors disclaim responsibility for any SEO theories or potential adverse effects, such as 'sandboxing,' 'Google Dance,' de-indexing, or de-ranking, resulting from their services.
  7. Automated systems are strictly forbidden, like bots or spiders that overload Lemonet’s servers beyond human capacity.
  8. The Company will not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data or profits, that arise from using its Service. Link inclusion on the site does not equate to endorsement of the linked content.
    The accuracy or completeness of reports provided as part of the service is not guaranteed. While Lemonet strives to deliver accurate data, it cannot assure this in cases beyond its control.
  9. Using the Company’s database to contact partner site webmasters directly, circumvent the security measures, or violate copyright restrictions and usage limits is strictly prohibited. Engaging in such activities violates our service agreement and results in loss of income and/or reputational damage to the Company. Clients responsible for these breaches will be required to compensate the Company for any incurred losses. Lemonet reserves the right to pursue legal action to recover financial damages and to suspend or terminate access for those involved.
  10. When engaging with the Service, you'll encounter content from various sources over which Lemonet has no control regarding its accuracy or safety. You waive any claims against Lemonet related to such content and agree to indemnify the Company and its affiliates against any related issues. Despite the restrictions mentioned, Lemonet permits public search engine operators to use spiders to copy content from the site exclusively to create publicly searchable indices of the materials, excluding caches or archives. Lemonet retains the authority to withdraw these permissions broadly or in particular instances. You are prohibited from gathering or harvesting any personal information, including account names, from the Service and from using the Service’s communication features (such as comments and emails) for commercial solicitation.
  11. Additionally, you must not approach Service users for commercial purposes regarding their Content.
    Lemonet retains the authority to cease any part of the Service at its discretion.
    If you are utilising the Services on behalf of someone else, you confirm that you have the authority to bind that party to this Agreement and to represent them in dealings related to the Services.
  12. Only registered Client’s can place orders. Upon registration, you'll gain access to a selection of domains/websites for content publication with destination URL links. Each link you select constitutes a separate component of your total order.
    Lemonet does not promise that ordered content will appear on the homepage of a chosen domain; it will be placed in an appropriate section according to its category and topic.
  13. After selecting websites, you must specify content requirements, adhering to the "Content requirements" outlined in this agreement.
    After your order is placed and paid for, Lemonet will draft the content. Following your approval of this content, Lemonet will publish it on the chosen website and provide you with a link to the publication. You must accept the order results for your content to remain published.
  14. The timeframe for article completion and link activation depends on how quickly you respond to requests for information and approvals.
  15. The Company will inform you about the expected duration of content placement for each domain. This duration is based on the domain owner's commitment to Lemonet but is not guaranteed. It's important to understand that while content placement may be intended to be permanent, the Company cannot guarantee its permanence. This condition applies to all domains except those specifically promised to have a minimum duration of one year.
  16. You acknowledge that The Company’s responsibility is to publish content on chosen domains without monitoring the status of those publications. If a domain owner removes content, Lemonet will not alert you.
  17. The Company commits to ensuring that content remains on the selected domain for at least twelve months from the date you accept the order results. Should the content be removed before this period expires, you will receive a proportional refund for the time shortfall. This refund is contingent on you notifying the Company of the removal within the guaranteed period. For instance, if you paid 120 Euros for content meant to last twelve months but it was removed after eleven months, you would be entitled to a 10 Euro refund, provided you report the issue before the start of the twelfth month.
  18. After the guaranteed period, if you discover a discrepancy in the duration of content placement, you are encouraged to contact support (at) lemonet.com. While the Company will assist in addressing the issue with the domain owner, reimbursement is only assured under the conditions outlined in these terms.
  19. The client understands that a Fulfilment Fee will be added to each order and will represent a percentage value of the total order value minus the content fees. Failure to pay this may result in the order being cancelled and the account being credited.
  20. All fees, services, documents, recommendations and reports are confidential.

Content, Revisions & Publication

  1. The company will utilise artificial intelligence tools to draft a free article containing approximately 400 words. This article will be proofed and sent to the media outlet for publication. On this free content tier, there will be no revisions unless such a request comes from the media outlet.
  2. The Company does not accept responsibility for any incorrect, false, or potentially harmful information in any articles generated by AI or the content team.  
  3. Additional options for content development and customisation are available at an additional cost. If the client wishes to select premium content by Lemonet, the following options are available with set conditions for each.
  4. Free - 400 words, Al-written article which is then checked for errors by a human.
  5. Pro - 600 word long article that is written by our copywriters. You get 2 free revisions.
  6. Pro Plus - 800-word long article written by our senior copywriters, and the topics are hand-picked by our SEO experts. There is more chance of these articles performing well on search.
  7. Own Content - The client can upload their own content for a small nominal fee. This will be checked by the team and sent to the webmaster for approval.
  8. The client understands that if a Default Content Provider has been set for all orders, then the content cost will automatically apply to each order and associated invoice unless agreed otherwise in writing.
  9. The client understands and agrees to the nominal charge of 5 Euro for uploading “Own Content” for each applicable order item.
  10. The client may complete content guidelines but acknowledges that the media outlet has the final say on content direction and will act in good faith to ensure an efficient publication process. Failure to do so may result in the order being cancelled or the account being suspended.  
  11. The style and tone of content will be tailored to each domain, ensuring a natural appearance with minimal promotional material.
  12. Each article will feature your specified anchor text(s) and target URL(s), including up to two authoritative external links.
  13. Only one project, as designated by you, will be linked to from the articles.
  14. The client has the right to determine the subjects of the articles prior to submitting the article unless agreed otherwise in writing.
  15. Failure to submit content guidelines with an order will result in the Company assigning default guidelines and creating content that is deemed to be suitable for publication.
  16. You acknowledge that Lemonet may share your content specifications with external parties, including webmasters, website owners, and content creators, or 3rd parties to deliver the services you require.
  17. Be aware that certain websites may reject content related to gambling, forex, sports betting, and other regulated niches. These sites are identified by the "niche" filter on the platform. It is the Client’s duty to ensure that content is appropriate for the selected sites before placing your order.
  18. Submitting content for a restricted niche to a general website will lead to Lemonet dismissing that portion of your order, and crediting the line item minus any associated content or finder & fulfillment fees.
  19. Upon requesting premium content from Lemonet, you are allowed up to two revisions per article. Further amendments will cost 15 Euro per amendment.
  20. You can request edits to ensure the content meets your standards, but major details such as article length, link quantity, and pre-approved topics cannot be altered post-approval. Changes to these critical aspects will incur additional charges.
  21. Requesting a complete rewrite of content may incur a content drafting fee of 100 Euros per article unless the Company agrees otherwise.
  22. If the client fails to pay this, the unaccepted portion of the order will be treated as a rejected publication. This will result in in-store credits equal to the value of the unaccepted portion of your order minus the original content fees, which can be used for future orders.
  23. It is the Client’s responsibility to ensure the content fulfils all requirements outlined in this agreement.
  24. You acknowledge that Lemonet drafts content based on the client's content guidelines and proceeds with publishing only after receiving consent.
  25. You recognise that, despite your approval, content may undergo further modifications by the webmaster or website owner to align with their site's regulations, usually without altering the fundamental message. You understand that the Company is not accountable for producing or circulating content that is:
  26. Defamatory or knowingly untrue;
  27. Obscene or inappropriate;
  28. Violates any intellectual property rights, including copyright, trademark, or other proprietary rights;
  29. Violates privacy or data protection rights;
  30. Contains negligent advice or statements;
  31. Incites criminal actions or provides guidance on committing crimes;
  32. Promises guaranteed profits or earnings; Disrespects court orders or engages in contempt of court;
  33. Violates laws against racial, religious hatred, or discrimination;
  34. Is blasphemous;
  35. Reveals secrets or breaches confidentiality agreements;
  36. Contravenes any contractual obligations;
  37. Graphically portrays violence;
  38. Is pornographic or sexually explicit;
  39. Is misleading, false, or deceptive;
  40. Includes harmful instructions that could lead to injury, death, or other loss;
  41. Constitutes spam or unwanted communication;
  42. Is offensive, deceitful, threatening, abusive, discriminatory, or causes distress.
  43. Lemonet has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future.
  44. The Client’s website may be excluded from any blog, website, directory or search engine at any time at the sole discretion of the search engine or directory.
  45. The Company has no control over the listed websites and blog owners removing links and content, or deleting/moving/changing their website. Refunds and replacements will only be processed per the refund policies of each individual service.
  46. The Company does not guarantee search engine positions for any particular keyword, phrase, or search term. Neither does Lemonet guarantee any traffic increases.
  47. The Client acknowledges and accepts that any form of link-building activity inherently incurs risks of search engine penalties and other damage to SEO efforts. Lemonet does not assume liability for any impacts of link building and other SEO activities upon the Client’s website rankings.


Fees, Invoices & Payment
The client acknowledges that when an order is placed and submitted, a binding purchase agreement is formed.

The Client reserves the right to cancel an order placed by the client in writing within 5 working days of the order being submitted.

Clients are required to pay in advance for all services offered by the Company. Once a payment has been made, cancelling an order is not an option. Refunds are issued solely when Lemonet cannot complete a specific segment of the order, such as an article or publication. In such cases the Client will receive a credit on the system for other orders unless agreed otherwise.

The Company reserves the right to cancel a portion of a client's order placed and, in doing so, will make every effort to explain why. Should cancellation occur, the Client will receive in-store credits equivalent to the value of the unfulfilled portion of your order. It is not permissible to reorder sites that were part of previously declined orders. If a satisfactory alternative cannot be found, the unfulfilled portion of your original order will be refunded to the account from which the payment originated, minus any content or fulfilment fees.

Changes to completed orders and projects within orders, such as amendments to anchor texts and target URLs, may incur an administration fee of 25 Euro per change, subject to the discretion of the Lemonet Support team. Requesting a complete rewrite of content may incur a content drafting fee of 100 Euros per article, unless the Company agrees otherwise. Other changes to completed projects may incur other charges.

The client agrees to pay a 5% Finders & Fulfillment Fee on the total order, minus any content additions or extra services, unless otherwise agreed in writing.

The Client agrees that some media outlets may not accept or may charge extra for certain niches deemed to be Taboo Topics (e.g., prescriptions, drugs, gambling, casinos, CBD, and adult content). Clients must notify the Company at the time of ordering to ensure accurate invoicing and order fulfilment. Publishing articles in unsupported niches may violate terms and lead to account suspension.

Lemonet reserves the right to cancel any orders placed for websites in illegal or offensive industries. Any illegal content, products, services or items hateful, objectionable or defamatory content aimed at any people group, race, gender, sexual orientation or otherwise attacks on any person, business, organisation, product or service; cruelty towards animals; or otherwise content found to be objectionable will be cancelled and refunded.

The client agrees to make every effort to pay the generated invoice immediately following order submission.

No refunds can be provided for unused credits inside an account.  Any deviation from these standard terms will be agreed upon by the Parties in writing.


Other
By joining, you agree to receive emails from Lemonet, which could be in the form of order notifications, system updates, new services, offers or educational material.

All Parties irrevocably agree that the courts of Northern Ireland  have the exclusive jurisdiction to:
(a) determine any dispute;
(b) grant interim remedies;
(c) grant any other provisional or protective relief.

No refunds can be provided for unused credits added via the Client subscription.  Unused credits will remain available in your account after your subscription is cancelled.
